AREAS OF LAW
The law firm of sjs Seidler & Kollegen has its main office in Weil am Rhein, Germany, right outside the gates of Basel, Switzerland. In spring 2014 a branch office was opened in Waldshut-Tiengen, Germany, located just 40 km from Zurich.
With nine attorneys currently on staff, sjs Seidler & Kollegen is one of the largest law firms in the Southern Baden region in the heart of Europe. In fact Nomos, which publishes a guide to law firms in Germany (“Kanzleien in Deutschland”), has listed us as one of the country’s leading law firms specializing in business law for several years now. We are a premium partner of the Association of Swiss Companies in Germany (VSUD) as well as an official partner of the ESF project "Corporate Succession Planning" coordinated by the Wirtschaftsregion Südwest economic development association.
sjs Seidler & Kollegen advises its clients on matters related to all areas of law. Rather than focusing on rigidly-defined fields of law, we look at the typical issues facing our clients and assign our attorneys accordingly. Here, too, we believe in the "specialized generalist" principle. In other words, despite the fact that our attorneys are qualified specialists, they keep an eye on the big picture and draw on the expertise of colleagues whenever details arise that fall outside their own particular area of specialty.
Our services focus on the following areas:
Real estate and construction
We provide a wide range of services related to real estate and construction including advising individuals on the purchase of a private home, preparing any contract documents required for large-scale construction projects, providing comprehensive support on complex real estate development projects as well as the reactivation and repurposing of any facilities that have become redundant.
Particularly when it comes to real estate development projects such as these, our experts offer comprehensive advisory services from one source that cover every aspect of the project beginning with how to handle potential contamination issues, support during the development planning process, assistance with infrastructure development, rearrangement of property rights and the sale of property. Our clientele includes private individuals, cities and municipalities as well as businesses of all sizes, ranging from SMEs all the way to international corporations.
Not least as a result of our location in the tri-border region of France, Switzerland and Germany, cross-border issues have always been a special area of focus for the attorneys at Seidler & Kollegen.
Traditional German SMEs have local roots yet their activities are very global in nature. With that in mind, Seidler & Kollegen offers these SMEs experienced support in matters relating to international business including the preparation of delivery contracts, the structuring of international corporate groups or taking steps to protect or enforce their claims abroad.
Entrepreneurs from abroad will find qualified partners who are capable of providing them with the legal expertise they need for conducting business in Germany as well as experienced support on purely practical relocation-related issues, particularly when it comes to dealing with authorities.
Cross-border matters are playing an increasingly important role in the area of inheritance law. The specialized attorneys at Seidler & Kollegen have been handling inheritances and succession arrangements with an international element for years and can draw on an immense wealth of experience and expertise.
Wherever and whenever the need arises, the firm also has a proven network of local attorneys who can assist with matters involving a foreign country.
Inheritances and bequests
One focus of our activities lies in advising individuals on matters related to wealth management and succession arrangements.
We work together with you to ensure that all of the necessary documents are in place in the event of an emergency. By taking these precautions, you can ensure that your wishes are respected, both regarding financial and business matters as well as medical issues, even if you are no longer capable of expressing these wishes yourself.
When planning your estate, our specialized attorneys draw up legally compliant testaments and contracts of inheritance. This is done in close consultation with your tax advisor to ensure that the best possible outcome is achieved, not just from a tax perspective but also in terms of family and company law. Our consulting services for independent business owners focus on defining succession plans at an early point in time and implementing those plans during the owner's lifetime.
M&A and business succession
Our corporate law specialists advise business owners and companies on all types of acquisitions and sales of companies, or parts of companies, as well as on matters related to corporate structuring. In each case we carefully work together with your tax advisor to ensure that, in the end, the best possible outcome is achieved not only from a legal perspective but from a tax standpoint, as well.
When it comes to corporate succession, we ensure that your plans are practicable not just in terms of corporate law but also look at the situation from an inheritance and family law perspective. Corporate succession mandates are therefore generally handled by a team of experts from all three areas of law. Of course an attorney of your choice will serve as your main point of contact in these matters.
Day-to-day business operations
Acting in a capacity as an external legal department, the law firm of Seidler & Kollegen advises SMEs of all sizes on any matters that arise relating to day-to-day business operations.
These might include the initial drafting and regular review of a company's general terms and conditions, checking and, where necessary, revising incoming contractual offers, providing support on financial issues, representing clients in matters relating to competition law as well as handling all aspects of a company's debt collection system.
Of course when it comes to situations of a cross-border nature, it goes without saying that negotiations can be conducted in English and that all contract review and preparation services are offered in English, as well.
